Welcome to CleanlyQuote, a service operated by Convergence Strategy Partners LLC ("CleanlyQuote," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service").

By accessing or using CleanlyQuote, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

CleanlyQuote provides software tools designed for cleaning businesses, including:

• Estimate and quote generation
• Proposal creation and management
• Client relationship management
• Scheduling and calendar tools
• Cleaning checklists and templates
• Business analytics and reporting

The Service is designed for business use and not for consumers.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Subscription Plans and Payments

Free Plan

We offer a free plan with limited features. Free plans may be modified or discontinued at our discretion with reasonable notice.

Paid Subscriptions

Paid subscription plans are billed in advance on a monthly or annual basis. By subscribing to a paid plan:

• You authorize us to charge your payment method for the applicable fees
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel at any time; access continues until the end of the billing period
• Refunds are provided only as required by law or at our discretion

Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at your next renewal date.

5. Your Data and Content

Ownership

You retain ownership of all data and content you enter into CleanlyQuote ("Your Content"), including client information, estimates, and business data.

License to Us

You grant us a limited license to use, store, and process Your Content solely to provide the Service to you. We will not sell Your Content or use it for advertising purposes.

Data Storage

Your business data is primarily stored locally in your browser. You are responsible for maintaining backups of important data. We recommend using the export feature regularly.

Data Export

You may export Your Content at any time using the built-in export functionality.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or redistribute the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

CleanlyQuote and its original content (excluding Your Content), features, and functionality are owned by Convergence Strategy Partners LLC and are protected by copyright, trademark, and other intellectual property laws.

Our name, logo, and product names are trademarks of Convergence Strategy Partners LLC. You may not use these without our prior written consent.

8. Third-Party Services

The Service may integrate with or contain links to third-party services (such as Stripe for payments). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

• Perform maintenance that temporarily limits access
• Modify, suspend, or discontinue features with reasonable notice
• Experience outages due to factors beyond our control

10. Disclaimer of Warranties

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Convergence Strategy Partners LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

13. Termination

You may terminate your account at any time by contacting us or using account settings (if available).

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You remain responsible for any outstanding fees
• Provisions that by their nature should survive will survive termination

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve disputes informally
• Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles
• Jurisdiction: You agree to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Your continued use after changes constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CleanlyQuote
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent; we may assign them freely
• No Agency: Nothing creates an employment, agency, or partnership relationship
